End User License Agreement (EULA)

Effective Date: August 8, 2026

1. Agreement

This End User License Agreement ("Agreement") governs the use of the Toro Accounting Bookkeeping Assistant ("Application"), provided by Toro Financial Inc. operating as Toro Accounting ("Company", "we", "our", or "us").

By accessing or using the Application, you agree to be bound by this Agreement.

2. Purpose of the Application

The Application is designed to assist users with bookkeeping, accounting workflow automation, transaction review, document management, data organization, and integration with third-party business systems including QuickBooks Online.

The Application is intended as an aid to accounting and bookkeeping processes and does not replace professional judgment.

3. License Grant

Subject to compliance with this Agreement, Toro Financial Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for lawful business purposes.

No ownership rights are transferred to the user.

4. User Responsibilities

You agree that:

  • You will provide accurate information when using the Application.
  • You are responsible for reviewing all bookkeeping, accounting, tax, and financial information generated by the Application.
  • You remain responsible for all accounting decisions, filings, approvals, and transactions.
  • You will comply with all applicable laws and regulations.

5. Third-Party Services

The Application may integrate with third-party services including but not limited to:

  • QuickBooks Online
  • Intuit APIs
  • Microsoft 365
  • Banking platforms
  • Document management systems

Use of such services is subject to the terms and policies of those providers.

Toro Financial Inc. is not responsible for the availability, security, or performance of third-party services.

6. Data Access and Authorization

The Application may access financial, bookkeeping, accounting, and business information that users authorize through connected services.

Users expressly authorize the Application to retrieve, process, and display data necessary to perform requested bookkeeping and accounting functions.

The Application will only access information for which appropriate permissions have been granted.

7. No Professional Advice

Information generated by the Application is provided for informational and operational purposes only.

The Application does not provide:

  • Legal advice
  • Tax advice
  • Investment advice
  • Audit opinions
  • Assurance services

Users should consult qualified professionals before making significant financial, legal, or tax decisions.

8. Accuracy Disclaimer

While we strive to provide accurate information and recommendations, Toro Financial Inc. does not guarantee:

  • Completeness
  • Accuracy
  • Reliability
  • Timeliness

of any data, calculations, classifications, categorizations, reconciliations, reports, or recommendations produced by the Application.

Users are responsible for reviewing and verifying results before acting upon them.

9. Limitation of Liability

To the maximum extent permitted by law, Toro Financial Inc., its directors, officers, employees, contractors, and affiliates shall not be liable for:

  • Lost profits
  • Lost revenue
  • Business interruption
  • Data loss
  • Tax penalties
  • Regulatory penalties
  • Indirect, incidental, special, or consequential damages

arising from the use or inability to use the Application.

10. Intellectual Property

The Application, including its software, workflows, content, documentation, trademarks, and related materials, remains the exclusive property of Toro Financial Inc.

Users may not:

  • Reverse engineer the Application
  • Copy proprietary materials
  • Resell the Application
  • Create derivative works without written authorization

11. Suspension and Termination

Toro Financial Inc. may suspend or terminate access to the Application at any time if:

  • This Agreement is violated;
  • Unauthorized access is detected;
  • Security concerns arise; or
  • Continued access may expose Toro Financial Inc. or its clients to risk.

12. Privacy

Use of the Application is also governed by the Company's Privacy Policy.

Users acknowledge that business and financial information may be processed as necessary to provide services and functionality requested by the user.

13. Changes to this Agreement

Toro Financial Inc. may modify this Agreement from time to time.

Continued use of the Application after such modifications constitutes acceptance of the updated Agreement.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.

Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario.
